The Role: Commercial & Procurement Contracts Consultant
Eudia Counsel is looking for an experienced Commercial & Procurement Contracts Consultant to join the Global Procurement Legal team of a leading global SaaS company on a secondment basis. Our client is a market leader with hundreds of millions of users across more than 100 countries!
You will be one of several Eudia Counsel consultants supporting the client, working alongside a highly experienced in-house legal team of senior lawyers who value autonomy and getting things done. We have partnered with this client for five years, so this is a stable, long-standing engagement.
- Engagement: secondment, starting ASAP and running until at least the end of January, with a strong likelihood of extension for a further 12 months
- Location: fully remote
- Hours: 5 days per week, 30–40 hours
What You'll Do
- Provide legal support to the client's global Procurement team, working with in-house Legal and business stakeholders across EMEA and the US
- Review, draft and negotiate a wide range of procurement agreements, including vendor MSAs, SaaS and marketing agreements, SOWs, order forms, amendments and renewals
- Review and negotiate data processing agreements, privacy provisions and security terms, working closely with Privacy, Information Security and GRC teams
- Review and negotiate AI-related contract terms, addressing legal risk and ensuring alignment with company policy and business requirements
- Advise on key contractual risks, including liability caps, indemnities, confidentiality, intellectual property, service levels, termination rights and automatic renewals
- Develop practical negotiation positions and fallback language that protect the client's interests while supporting business objectives and timely deal completion
- Partner with Procurement, Finance, IT, Privacy and other stakeholders to clarify requirements, resolve contractual issues and secure the necessary approvals
- Manage multiple contract reviews through internal intake and approval workflows, clearly communicating priorities, open issues and recommended solutions
Key Requirements
- 8+ years of commercial contracting experience
- Strong experience reviewing and negotiating SaaS agreements
- Procurement or vendor-side contracting experience
- Experience working in a fast-paced technology company environment
- Confidence advising on data protection, security and AI-related contract terms
- Ability to manage a high volume of contracts independently and prioritise effectively
- Strong communication skills and a practical, business-focused approach
