A leading global law firm with a strong track record in corporate transactions, emerging company work, and complex dealmaking is seeking a Corporate M&A Resource Attorney (non-billable) to support its corporate/M&A practice. The firm operates across major US, European, and Asian markets and is known for its focus on high‑growth industries, sophisticated transactions, and legal innovation.

This is a non‑billable, non‑client‑facing role designed for an experienced M&A attorney who enjoys drafting, deal data, market trends, and building practice infrastructure.

Role Overview

The M&A Resource Attorney strengthens the practice by developing and maintaining the knowledge systems, templates, tools, and insights that enable deal teams to work efficiently and consistently. You will collaborate with partners, associates, knowledge management, legal education, and marketing teams to support the group's operational excellence.

Key Responsibilities

Deal Intelligence & Database Management

- Capture key terms from signed M&A transactions and input them into the firm's deal database.

- Coordinate with Knowledge Management to audit, update, and enhance database accuracy and usability.

Forms, Precedents & Drafting Excellence

- Draft, update, and refine template agreements, clause libraries, and negotiation playbooks.

- Curate and organize the practice group's forms, precedents, and know‑how resources.

Legal & Regulatory Updates

- Monitor developments in public and private M&A, corporate governance, fiduciary duties, and market trends.

- Prepare concise summaries and alerts; ensure updates are reflected in practice materials.

Training & Professional Development

- Partner with the legal education team to develop training content for associates and firmwide learning initiatives.

Marketing & Business Development

- Support the M&A marketing team with thought leadership, blog content, pitch materials, and presentations.

Attorney Support

- Respond to attorney requests for precedents, templates, and deal resources.

- Serve as an internal expert on drafting standards and market positions.

Innovation & Knowledge Projects

- Contribute to knowledge management initiatives, automation tools, and practice‑innovation projects.

- Support new and evolving priorities within the M&A group.

Qualifications

- Licensed U.S. attorney with 7+ years of experience in M&A corporate/transactional practice.

- Strong understanding of public and private M&A, corporate governance, and market norms.

- Exceptional drafting skills and meticulous attention to detail.

- Highly organized, able to manage multiple projects and stakeholders.

- Collaborative, flexible, and comfortable working in a dynamic environment.

Compensation

Annual salary range: $275,000 – $335,000, depending on location, experience, and skill set.
