Associate General Counsel, Corporate & Corporate Finance
Crux AI · Palo Alto · hybrid
Built to set the gold standard for integrated AI infrastructure
Crux AI is a newly formed, U.S.-based integrated AI infrastructure company created to remove the physical and operational constraints on consequential AI ambitions. Crux brings together power, high-density data centers, TPU silicon, networking, orchestration software, and ongoing operations as one integrated system.
Crux is being capitalized to plan every layer together, develop each one to demanding standards, and operate the whole system with efficiency and reliability. That gives hyperscalers, frontier AI labs, sovereign customers, enterprises, and AI-native companies greater freedom to pursue the AI they are here to create.
WHAT YOU'LL DO
You will be the lead lawyer for Crux's corporate structure, governance, and the financings that fund a multi-gigawatt build. Reporting to our General Counsel and working hand in hand with the CFO and Capital Markets, you will own the legal execution of multi-billion dollar debt and equity transactions, keep a fast-growing entity structure clean and compliant, and run board, sponsor, and partner governance with Blackstone and Google. You will start as a hands-on practitioner and build a team of 1 to 3 counsel as volume grows. This is a builder's seat: you will set the governance, approval, and financing playbooks of record for a company being built to raise capital at unprecedented scale.
In this role, you will:
- Lead the legal execution of corporate and asset-level financings from term sheet through close and post-close: construction and project financings, asset-backed securitizations, equipment and lease financings, supply chain financing, revolving credit facilities, and equity raises.
- Own the covenant and obligation map across the debt stack: what each facility permits, restricts, and requires, and how those terms flow into customer contracts, site agreements, and the cost and margin model of record.
- Run corporate governance for Crux and its subsidiaries: board and committee materials, minutes and written consents, sponsor and partner consent rights, delegations of authority, and the approval matrix the company actually operates by.
- Build and maintain a clean entity structure as the fleet grows: formations, project SPVs, intercompany agreements, foreign qualifications, and the records that lenders, auditors, and investors will diligence.
- Advise on strategic transactions, joint ventures, and M&A, including diligence, structuring, negotiation, and integration.
- Partner with Capital Markets, Treasury, Tax, and Accounting on structuring and execution, with Data Center Legal on project-level financings, and with People on equity and incentive plans and executive agreements.
- Select and manage outside counsel to a budget, keeping strategy, judgment, and institutional knowledge in house.
- Hire and lead a team of 1 to 3 counsel as volume grows. Hire people better than you at their craft, then stay close enough to know when something is off before it shows up in a report.
SIGNALS OF SUCCESS
After 60 days in this role:
- Gained a complete understanding of Crux's entity structure, governing documents, sponsor and partner rights, and current financing status and go-forward needs, and published a written corporate legal plan with priorities and gaps.
- Stood up a board and governance calendar, a delegation of authority and approval matrix, and a single source of truth for entity records.
- Established working relationships with the CFO, Capital Markets, Tax, our sponsors' legal teams, and key outside and lender counsel.
- Adapted to a fast-paced environment, triaging appropriately and continuously improving our function.
After 6 months:
- Closed the first major financing(s) on the committed timeline, with a post-close compliance calendar that tracks every covenant, reporting obligation, and consent right.
- Delivered financing and governance playbooks (standard positions, a precedent library, and approval paths) that shorten the next deal.
- Defined the hiring plan for your team and made your first hire(s) as volume requires.
- Demonstrated an AI-forward and automated approach to this role: you have built, in a hands-on way, AI-enabled tools for covenant tracking, closing checklists, or board materials that the team uses every day.
After 1 year:
- Running a repeatable financing process where each transaction closes faster and cleaner than the last, with zero missed covenant, reporting, or consent deadlines.
- Built a small, high-performing corporate legal team and an outside counsel model that is predictable in cost.
- Positioned Crux's governance, entity structure, and records to support the next stage of capital formation, including potential public markets readiness.
EXPERIENCES, ATTRIBUTES AND MINDSET THAT INDICATE A GOOD MATCH
Experiences
- 10+ years of corporate and finance legal experience, combining top-tier law firm training (corporate, capital markets, banking and finance, or project finance) with significant in-house experience.
- A direct track record of closing complex debt financings ($1B+ transaction sizes), including structured, asset-based, or project finance, and supporting equity transactions.
- Hands-on corporate governance experience with a board, financial sponsors, or joint venture partners across a multi-entity structure.
Attributes
- You are outcome driven and hands-on. You turn documents yourself, you can go deep on a borrowing base or a change-of-control definition with lender counsel, and then explain the tradeoff in two sentences to the CFO. This is a builder's seat, not a supervisory one.
- You are commercially minded. You understand how a covenant package shapes what the business can sell, build, and promise, and you negotiate for operating flexibility, not just legal protection.
- You have a high tolerance for ambiguity. You absorb ambiguity and navigate complexity rather than passing it along.
Mindset
- You are skeptical by default. A closing date is a hypothesis until every condition precedent has an owner and a date. You build the system that makes the next closing boring.
- You operate as an owner, not a supervisor.
- You are AI-agentic first. Fluent with AI agents, or committed to becoming so quickly, you embed them as first principles in how you and your team work, defaulting to agentic workflows before adding headcount or process.
Nice to have (Preferred, not required):
- In-house experience at a capital-intensive, sponsor-backed, or high-growth company, ideally in digital infrastructure, energy, or AI (a hyperscaler, a neocloud such as CoreWeave, Crusoe, Lambda, or Nebius, or a data center developer).
- Experience with accelerator- or equipment-collateralized financings, data center ABS, or project finance for energy or digital infrastructure.
- Experience with LLC or partnership governance and joint venture agreements.
- Securities law and public company readiness experience.
- Experience in both startup and scaled enterprise environments, including building a legal function from its first hires.
