M&A and Project Finance Associate / Manager

Galileo is a fast-growing renewable energy IPP, investor and operator, currently in the very dynamic start-up phase. Since our foundation in 2020, we have secured a pipeline of over 17 GW of solar PV, onshore wind, offshore wind and storage projects across 9 markets in Europe.
We are looking for a M&A and Project Finance Associate / Manager to lead the evaluation and execution of new investment opportunities and
financing solutions across different renewable energy technologies (solar PV,
wind onshore and offshore as well as BESS). Working across the M&A and
Project Finance teams, this person will be based in Milan (with the
possibility of hybrid remote working) and report to the Head of Project Finance.
What you’ll do:
- Support, and progressively
manage the structuring, negotiation and execution of project finance
transactions, refinancing processes and other debt raising activities,
acting as a key point of contact for lenders and external advisors, and
managing the lender due diligence process.
- Own and review integrated
financial models for project finance, M&A and project valuation
purposes, ensuring their robustness and consistency, defining sensitivity
analyses and scenario assessments, and overseeing model audits.
- Lead or co-lead sell-side,
buy-side and partnership transactions from origination to closing,
coordinating internal teams and external advisors (legal, technical, tax,
financial) and actively contributing to the negotiation of key transaction
documents (NDAs, term sheets, SPAs, SHAs).
- Drive the strategic entry into
new geographical markets and the development of new business models (solar
I&C, BESS, floating offshore), from market screening and business case
definition to the identification of partners and investment opportunities.
- Prepare and present investment
memoranda and recommendations to the Investment Committee and senior
management, supporting decision-making across development, construction
and operational phases.
- Manage and coordinate due diligence processes and
support the post-closing phase, ensuring a smooth handover to asset management
and construction teams, and contribute to the improvement of internal
processes, tools and best practices.

Requirements
What you'll need:
- Excellent academic background with a
degree in Economics, Finance, Business Administration or Management Engineering
(degrees in STEM are also suitable, if accompanied with background in economics
or finance).
- 3 to 6 years of relevant work experience within
investment banking/M&A, infrastructure funds, private equity, project
finance advisory, lending institutions, or corporate M&A and project
finance functions, with proven exposure to both M&A and project finance
transactions in the energy/renewables or infrastructure sector. Seniority
(Associate or Manager) will be defined based on the candidate's experience.
- Track record of closed transactions with direct
involvement in execution, advanced financial modelling skills and solid
knowledge of transaction and financing documentation (SPAs, facility
agreements, security packages).
- Excellent verbal and written
communication skills in Italian and English. Another European language would be
a plus.
- Strong ownership, autonomy and proactive
attitude, with the ability to manage transaction workstreams independently and
to work effectively with cross-functional teams and external advisors.
- Ability to prioritize several concurrent tasks in a
fast-paced environment and prove resilient in the face of challenges and
disappointments.
